1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Singha Stack website at {{DOMAIN}} and the services offered by Singha Stack ("we", "us", "our"), a business based at 47 Sukhumvit Road, Bang Lamung, Chonburi 20150, Thailand.

By visiting this website or engaging our services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please discontinue use of this website and do not engage our services.

2. Services Offered

Singha Stack provides AI integration consultancy services to businesses in Thailand. Our current service offerings are:

• Foundations Review (฿4,700): A scoped assessment of one department, producing a written summary of where AI may reliably support routine work. Delivered within 1–2 weeks of engagement.
• Guardian Integration (฿11,000): Configuration of an AI assistant within one agreed system, including a handover session and documentation. Delivered over approximately five weeks.
• Standing Watch Plan (฿17,000/month): An ongoing monthly retainer providing care, monitoring, and plain-language reporting for an active integration, with a named point of contact.

Service scope, timeline, and deliverables are agreed in writing before any engagement commences. We reserve the right to decline or discontinue an engagement where the scope changes materially without agreement.

3. Engagement and Payment

An engagement begins only upon written confirmation from both parties. Invoices are issued in Thai Baht (฿) and are payable within the terms stated on the invoice, unless otherwise agreed in writing.

For the Standing Watch Plan, monthly fees are due at the start of each billing period. Either party may terminate the plan with 30 days' written notice. Fees paid in advance for the current billing period are non-refundable upon termination.

For project-based services (Foundations Review and Guardian Integration), a deposit may be required. Deposit terms will be stated in the written scope agreement prior to commencement.

4. Intellectual Property

All content on this website — including text, structure, design, and imagery — is the property of Singha Stack or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or adapt website content without prior written consent.

Deliverables produced under a service engagement (such as written assessment summaries and documentation) are provided to you for your own business use. Singha Stack retains the right to use anonymised methodologies and approaches in future work.

5. Confidentiality

We treat all information shared with us during an engagement as confidential. We will not disclose client-specific information to third parties without your written consent, except where required by law.

Where a formal Non-Disclosure Agreement is requested, we are willing to consider this on a case-by-case basis. Please raise this before commencing an engagement.

6. Limitation of Liability

Singha Stack provides consultancy and configuration services. We do not guarantee specific business outcomes from the use of AI tools or integrations we assist with. Results will vary depending on your operations, staff, and the AI systems involved.

To the extent permitted by Thai law, our total liability in connection with any engagement shall not exceed the total fees paid by you for that engagement. We are not liable for indirect, consequential, or incidental losses arising from the use of our services or this website.

Nothing in these Terms limits liability for fraud, wilful misconduct, or any matter that cannot be excluded by law.

7. Website Use

This website is provided for informational purposes. You agree not to use it in any way that:

• Is unlawful or harmful to others
• Introduces malicious code or attempts to disrupt website functionality
• Misrepresents your identity or affiliation
• Violates any applicable Thai law or regulation

8. Third-Party Links and Tools

This website may reference or link to third-party platforms and tools. We are not responsible for the content, practices, or policies of third parties. Any reliance on third-party tools or services as part of an integration is governed by that third party's own terms.

10. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from or relating to these Terms or our services shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days of written notice, it may be referred to the courts of competent jurisdiction in Chonburi Province, Thailand, unless otherwise agreed.

11. Modifications to These Terms

We may update these Terms from time to time. Material changes will be published on this page with an updated effective date. Continued use of our website or services after changes are published constitutes acceptance of the revised Terms. For active service engagements, we will provide reasonable notice of any changes that affect the terms of that engagement.
